These Terms of Service ("Terms") govern your access to and use of Minota ("the Service"), a web application and WhatsApp-integrated AI assistant. The Service is operated by Facundo Martin Vega (NIF: Z2932527D), with registered address at Luis Lamarca 22, Valencia, Spain ("we", "us", or "our"), based in Valencia, Spain. By creating an account or using the Service, you agree to be bound by these Terms.
Minota provides task management, AI-assisted productivity, personal finance tracking, and a private data vault.
AI Disclaimer: The Service utilizes artificial intelligence (AI) to process inputs and generate responses. AI systems can produce inaccurate, incomplete, or inappropriate content ("hallucinations"). You are solely responsible for verifying any AI-generated outputs before acting upon them, particularly regarding financial records, scheduling, or critical personal tasks. We disclaim any liability for errors made by the AI.
You must be at least 16 years old to use the Service. Registration requires a Google account.
Payments: Pro plan subscriptions are processed through our Merchant of Record, Lemon Squeezy. By subscribing, you authorize recurring billing. You may cancel at any time, retaining access until the end of the billing cycle. No partial refunds are provided.
Certain data within the Service is protected using zero-knowledge encryption. We do not possess, store, or have the ability to recover your Master Key. If you lose your Master Key, your vaulted data is permanently unrecoverable. We accept absolutely no liability for data loss resulting from misplaced keys.
You agree not to use the Service to: (a) violate any laws or regulations; (b) transmit malware, ransomware, or malicious code; (c) attempt to reverse-engineer or hack the Service; or (d) exceed fair usage limits of our AI and third-party APIs.
To the maximum extent permitted by applicable law, we provide the Service on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties, whether express or implied.
Hacking and Third-Party Failures: We shall not be liable for any direct, indirect, incidental, special, or consequential damages (including loss of data, profits, or goodwill) resulting from: (i) unauthorized access to your account or data; (ii) server breaches, cyberattacks, hacking, or ransomware targeting our infrastructure or our third-party providers (e.g., Google, Meta, hosting providers); or (iii) downtime or failure of third-party APIs.
Liability Cap: In no event shall our total liability to you for all claims arising out of or related to the Service exceed the total amount paid by you to us in the twelve (12) months preceding the incident.
You agree to indemnify and hold harmless the operator of Minota from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Valencia, Spain, acknowledging that the Service is accessible globally but operated from this jurisdiction.
